UK Fund Diagnostic Terms & Conditions
These terms and conditions ("Terms") govern the Client's use of the free UK Fund Diagnostic service ("Service") provided by Zeyro Ltd ("Zeyro"). By submitting information to Zeyro or using the Service, the Client agrees to these Terms.

1. Nature of the Service
1.1 The Service consists of Zeyro reviewing information provided by the Client and producing a written diagnostic report ("Diagnostic Output").
1.2 The Service is a high-level, non-advised assessment based on limited information. 1.3 The Service does not verify the accuracy or completeness of information supplied by the Client.
2. No Advice

2.1 The Diagnostic Output is not legal advice, regulatory advice, investment advice, tax advice, or a personal recommendation.
2.2 The Diagnostic Output consists solely of observations, flags, and general suggestions.
2.3 The Client remains solely responsible for all decisions it makes and for obtaining all professional advice it requires.
2.4 The Client shall not rely on the Diagnostic Output as a basis for any investment, regulatory, legal, commercial, or compliance decision.
3. No Liability
3.1 The Service is provided free of charge, and Zeyro provides it as-is.
3.2 Zeyro excludes all liability arising out of or relating to the Service or the Diagnostic Output.
3.3 Zeyro is not liable for any loss of profit, revenue, opportunity, data, or any indirect or consequential loss.
3.4 Nothing in these Terms limits liability that Applicable Law does not permit to be limited.
4. Information Provided by the Client
4.1 The Client shall ensure that the information it provides is complete and accurate.
4.2 Zeyro is not required to verify any such information.
4.3 The Client warrants that it has all rights necessary to provide the information to Zeyro.
5. Use of Data
5.1 The Client grants Zeyro permission to use, store, analyse, reproduce, and process all information the Client provides ("Client Data") for the following purposes:
(a) preparing the Diagnostic Output;
(b) improving Zeyro's products and services;
(c) internal research and development;
(d) generating aggregated or anonymised insights; and
(e) Zeyro's marketing, promotional and thought-leadership activities.
5.2 Zeyro may incorporate anonymised or aggregated Client Data into its tools, models, reports, marketing materials, or publications.
5.3 Zeyro shall not disclose the Client's identity without the Client's written consent.
6. Intellectual Property
6.1 Zeyro owns all intellectual property rights in the Diagnostic Output.
6.2 Zeyro grants the Client a non-exclusive, revocable licence to use the Diagnostic Output solely for its internal business purposes.
6.3 The Client shall not publish the Diagnostic Output or share it with any third party without Zeyro's written consent.
7. Confidentiality
7.1 Each party shall keep the other party's Confidential Information confidential.
7.2 Section 7 does not restrict disclosure required by law, regulation, or a competent authority.
8. Relationship to Other Services
8.1 Receiving the Service does not create any obligation for the Client to purchase any paid services from Zeyro.
8.2 If the Client later purchases services under a separate agreement, those services will be governed by the applicable agreement and not these Terms.
9. Termination
9.1 Zeyro may terminate the Client's access to the Service at any time without reason.
9.2 The Client may stop using the Service at any time.
9.3 Sections 2, 3, 5, 6, 7 and 10 survive termination.
10. Governing Law
10.1 These Terms are governed by the law of England and Wales.
10.2 The courts of England and Wales have exclusive jurisdiction.
11. Entire Agreement
11.1 These Terms constitute the entire agreement relating to the Service.
11.2 No other terms apply.
